Limited Liability Company – Instruction Manual, edited by Michał Tomczak, ODDK publishing house, published 2002, 2005 and 2007.

This was the first book by the lawyers of this Firm. In 2001, the Code of Commercial Companies entered into force, the most important act in our professional life and comments did not appear overnight. We proposed a few texts from “Rzeczpospolita” daily, and it ended up with 83 articles of sizes that no one today accepts.

The book was first published in 2002 by the ODDiK publishing house from Sopot. Then there were a few more editions, because the book was needed. Our branded “user’s manual” blatantly admitted that this was not meant to be a scientific work. We all had a lot of fun with it, because it was still a time when people were impressed by writing books.

Back then – in 2006 – there were no such studies, everyone was using Izabela Heropolitańska’s books from several years ago, and in the meantime new security measures appeared in business. The book resulted from the real needs of our clients – we did not write anything for purely theoretical reasons.

The uniqueness of this study was that it was created by three colleagues – talented lawyers from the Law Firm (everyone is doing interesting things today), and the authors do not mention the names of the partners. The truth is, however, that the substantive safety of such studies was achieved thanks to the fact that the study was thoroughly read (such a common word, dictionary in red) by Karolina Kocemba.

Tomczak & Partners in various periods of its existence carried out a lot of capital transactions. Lawyers who dealt with other matters on a daily basis were also involved in them. This book was written at the turn of the first and second decades. Limited partnership as a legal form of business had its best time, then a bit worse, but still good, and soon (2020) it may turn out to be unnecessary. This is the case when the choice of business structures is motivated solely by tax regulations.

Well, we can’t fix this world, at least in this respect. Using the experience gained thanks to our clients and in line with the economic situation, we created a study that did not hide its main message. Among the authors, the talented composition of the Law Firm: Kasia Bielat, Inga Dołowy, Wiola Januszczyk, Dominika Latwiec (Chara), Marta Mianowska and Kuba Salwa. And, of course, as the inspirer, Michał Tomczak.

After many years of conducting the m&a transactions, we noticed that there is no book in Poland on the company’s audit procedure, i.e. due diligence. Of course, every law firm carries out its own due diligence, and our book also reveals a proprietary idea for various practical issues. As far as we know, this is still the first attempt of its kind on the market. Among the authors: Dominika Latawiec-Chara, a uniquely talented specialist in labor law, working at the Law Firm in 2009-2017.

Transformation of Commercial Companies – Instruction Manual, ed. Michał Tomczak, publishing house ODDK, 2013.

The study on the transformation of companies was part of a series of books written in the Law Firm based on the experience with the use of commercial law. Conversion is, in fact, the simplest of operations. We have never written a study on the division, because we did not have many opportunities to carry out this exercise.

Among the authors, there are lawyers who worked at the Law Firm at the beginning of the second decade: Kuba Salwa, Wiola Januszczyk, Asia Ostojska, Marta Mianowska, Dominika Latawiec. Although writing books together with the pressure of current work is a difficult challenge, today we remember these ventures with considerable fondness.

Information Obligations of Public Companies, Karolina Kocemba, Rafał Filip Szymański, LexisNexis, 2013.

Karolina Kocemba, like her, developed an in-depth practice of listed companies on their own at a time when they had their great time. During this period, it turned out that the son-in-law of one of our clients, the owner of a thriving stock exchange business, Rafał Szymański, was writing his doctorate with Aleksander Chłopecki, a classic of the subject. This was the genesis of this pioneering study at that time.

The subject probably did not grow to its deserved dimensions for the simple reason that the stock market itself was wasted.
